1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Merchant," or "you") and Nevoxe Pay, Inc. ("Nevoxe Pay," "we," "us," or "our"), governing your access to and use of the Nevoxe Pay platform, APIs, and all related services (collectively, the "Services").
By creating an account, accessing the API, or otherwise using our Services, you confirm that you have read, understood, and agreed to these Terms. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree with any part of these Terms, you may not use our Services.
2. Services
Nevoxe Pay provides a full-stack cryptocurrency payment infrastructure, including but not limited to:
- Crypto Deposits: Generation of unique deposit addresses for 100+ supported cryptocurrencies; automated detection and confirmation of incoming transactions.
- Sweeper: Automatic consolidation of received funds into designated treasury wallets, reducing address management overhead.
- Payouts: Programmatic outbound transfers of cryptocurrency to designated recipient addresses.
- Treasury Management: Wallet management, balance tracking, and reporting tools.
- Webhooks & API: Real-time event notifications and a RESTful API for complete programmatic control.
- Nevoxe AI: An AI-powered assistant for transaction analysis, anomaly detection, and merchant support — limited strictly to informational functions and never initiating or authorizing transactions autonomously.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable.
3. Eligibility & Account Registration
3.1 Eligibility
You must be at least 18 years of age and have full legal capacity to enter into binding contracts. If you are registering on behalf of a business entity, that entity must be validly formed and in good standing under applicable law.
Nevoxe Pay provides cryptocurrency infrastructure services and operates as a global platform. Access to our Services is not currently restricted by geography. However, you are solely responsible for determining whether your use of the Services complies with the laws and regulations applicable in your jurisdiction. By registering, you represent that such use is lawful where you are located.
3.2 Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. Notify us immediately at security@nevoxepay.com if you suspect unauthorized access.
3.3 One Account Per Entity
Each individual or business entity may maintain only one active merchant account. Creating duplicate or fictitious accounts is prohibited and may result in permanent suspension.
4. Identity Verification
Nevoxe Pay does not impose a universal identity verification requirement as a condition of accessing our cryptocurrency infrastructure services. You may register and use the platform without providing identity documents under standard operating conditions.
However, we operate a risk-based framework and reserve the right to request identity verification in the following circumstances:
- We detect transaction patterns or account behavior that raises reasonable suspicion of illegal activity, fraud, or misuse of the platform
- We receive a formal inquiry, request, or legal process from a competent regulatory or law enforcement authority
- Account activity materially deviates from the stated business purpose provided at registration
- Applicable law or regulatory guidance in a relevant jurisdiction requires us to verify a specific user or category of user
When identity verification is requested, we will notify you through your registered contact details and specify the information required along with the applicable timeframe. Verification may include government-issued identification, proof of address, or business registration documents depending on the circumstances.
Failure to provide the requested information within the stated timeframe may result in temporary restriction of account functionality pending resolution. We process any identity documents provided in accordance with our Privacy Policy and applicable data protection law.
5. Prohibited Uses
Nevoxe Pay provides open cryptocurrency payment infrastructure accessible to merchants globally. We do not pre-screen or restrict merchant categories at onboarding beyond the age and legal capacity requirements in Section 3. However, by using our Services, you agree that you will not use them — directly or indirectly — for any of the following purposes:
- Money laundering or terrorist financing: Using the platform to conceal the origin of funds, layer transactions to obscure the audit trail, or fund activities associated with terrorism or political violence.
- Child exploitation: Any content, service, or transaction related to child sexual abuse material (CSAM) or the sexual exploitation of minors.
- Fraud and deception: Operating investment scams, Ponzi schemes, phishing operations, or any scheme designed to deceive users into transferring funds under false pretenses.
- Unauthorized system access: Using our infrastructure in connection with unauthorized access to computer systems, distribution of malware, ransomware operations, or similar cybercrime.
- Human trafficking: Transactions that facilitate human smuggling, forced labor, or any form of human exploitation.
- Circumvention of applicable law: Deliberately structuring transactions to evade legally required reporting, using our platform as a mechanism to circumvent obligations you are subject to under the laws of your jurisdiction.
- Platform abuse: Creating fictitious accounts, forging transaction data, impersonating other users, or deliberately interfering with platform integrity.
You are solely responsible for ensuring that your use of the Services complies with all laws applicable to you and your business. We do not and cannot provide legal advice regarding the legality of your specific business activities in your jurisdiction.
If we detect or have reasonable grounds to suspect that an account is being used for any prohibited purpose, we reserve the right to restrict, suspend, or terminate that account and to cooperate fully with competent authorities in any resulting investigation. Account funds may be held pending resolution where required by applicable law or at the direction of a competent authority.
6. Fees & Settlement
6.1 Fees
Current fee schedules are published on our Pricing page and incorporated herein by reference. Fees may include per-transaction processing fees, sweep fees, payout fees, and monthly platform fees depending on your plan. We reserve the right to adjust fees with 30 days' advance written notice.
6.2 Settlement
Cryptocurrency received is credited to your Nevoxe Pay balance upon the required number of on-chain confirmations for the relevant network. Outbound transfers (payouts) are processed according to the schedule specified in your plan. In cases where an account is subject to an active verification request or account review (see Section 4), outbound transfers may be temporarily held pending resolution.
6.3 Taxes
You are solely responsible for determining and paying all applicable taxes arising from your use of our Services, including any taxes on cryptocurrency gains, income, or sales. We may be required by law to report certain transaction information to tax authorities.
6.4 Chargebacks & Reversals
Confirmed on-chain cryptocurrency transactions are irreversible by nature. We do not process chargebacks. If a payout is sent to an incorrect address provided by you, we cannot reverse the transaction and bear no liability for resulting losses.
7. API Use & Developer Terms
Access to the Nevoxe Pay API is granted pursuant to these Terms and the API documentation available at docs.nevoxepay.com. You agree to:
- Maintain the secrecy of your API keys and never expose them in client-side code or public repositories
- Implement appropriate security measures to prevent unauthorized API access
- Not exceed published rate limits or attempt to circumvent them
- Not use the API to reverse-engineer our systems, probe for vulnerabilities, or conduct load testing without prior written authorization
- Immediately rotate compromised API keys and notify us at security@nevoxepay.com
We provide webhook event delivery on a best-effort basis. You are responsible for implementing idempotent webhook handlers and reconciling transaction states via API polling if webhooks are missed.
8. Intellectual Property
All intellectual property rights in the Services, including the platform, API, software, documentation, trademarks, logos, and content (collectively, "IP"), are owned by or licensed to Nevoxe Pay, Inc. These Terms do not grant you any ownership rights; your access is limited to a non-exclusive, non-transferable, revocable license to use the Services as permitted herein.
You may not copy, modify, distribute, sell, sublicense, reverse-engineer, or create derivative works from our IP without express written permission.
Any feedback, suggestions, or improvements you provide may be used by us freely without obligation to you.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
We do not warrant that the Services will be error-free, secure, or continuously available. Cryptocurrency networks are subject to congestion, forks, regulatory changes, and other events beyond our control. We are not responsible for blockchain network delays, failed transactions due to insufficient gas fees, or losses arising from market volatility.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEVOXE PAY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED US DOLLARS (USD 100).
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Nevoxe Pay, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of applicable laws or third-party rights; or (d) content or transaction data you submit through the Services.
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting support@nevoxepay.com. You remain liable for all fees and obligations accrued prior to termination.
12.2 Termination by Us
We may suspend or terminate your account immediately, without notice, if we determine in our sole discretion that you have violated these Terms, applicable law, or present a risk of harm to other users or the platform. Upon termination, we will make reasonable efforts to facilitate withdrawal of remaining balances, subject to AML and legal hold obligations.
12.3 Survival
Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, disputes, and any accrued payment obligations shall survive termination of these Terms.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising from or related to these Terms or the Services shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with internationally recognized arbitration rules.
You waive any right to participate in class-action proceedings against Nevoxe Pay to the fullest extent permitted by law.
14. Amendments
We may update these Terms at any time. Material changes will be communicated via email to your registered address or via an in-platform notice at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to amended Terms, you must stop using the Services and terminate your account before the effective date.
